Terms and Conditions of Sale

BioShop Canada Inc. ("BioShop") will sell to the customer ("Customer"). Any order transmitted by a Customer by telephone, in writing, or electronically and accepted by BioShop are subject to the following terms and conditions.

1. Use of Products

The Customer shall comply with all instructions, limitations, specifications, use statements or conditions of use made available by BioShop, including but not limited to product data, product information, safety data sheets, limited use information and labelling.

The Customer acknowledges that products sold are not tested for safety and efficacy in food, drug, medical device, cosmetic, or commercial use. Customer is solely responsible for compliance with all applicable regulatory requirements and generally accepted industry standards.

All products sold by BioShop are for research purposes only. These products are not intended for diagnostic, therapeutic, or human consumption. The Customer has no express or implied authorization from BioShop to use such products for any purpose other than for research.

All sales are governed by the laws of the Province of Ontario.

2. Price and Payment

All sales are in Canadian dollars (CAD). Prices are subject to change without notice. Applicable taxes, freight charges and any special packaging charges included during checkout are estimates only, and will be finalized when the order is invoiced.

Invoices will be rendered on each shipment partial or complete. The Customer shall pay all invoiced amounts within thirty (30) days from date of invoice to the specified bank account or as otherwise instructed.

3. Delivery

All shipping dates are approximate. Title to and risk of loss of any Product sold, shall pass to Customer upon BioShop delivering the order to courier at FOB point. All shipments from us are 'Free On Board' (FOB) BioShop shipping point. Upon the order leaving our warehouse, the freight is considered the property of the buyer and any loss or damage claims for reimbursement to the courier must be filed by the buyer.

4. Warranties

BioShop warrants that its products shall conform to the description as provided on our website at time of purchase. This warranty is exclusive and BioShop makes no other warranty, expressed or implied, including any implied warranty of merchantability or fitness for any particular purpose. BioShop’s sole and exclusive liability, with respect to products proved to BioShop’s satisfaction to be defective, shall be the replacement of such products without charge or refund of purchase price. BioShop shall not be liable for any incidental, consequential or contingent damages.

5. Returns

The Customer shall not return Products without BioShop’s prior written consent. No returns will be accepted more than thirty (30) days after the shipping date. Any returned Products must be in their original packaging with the original label affixed, and unaltered in form and content. A restocking fee may be levied at the Customer's expense depending upon the nature of the product. We reserve the right not to accept the cancellation of orders.

6. Limitation of Liability

BioShop assumes no liability and shall not be held responsible for any claims, losses, damages, fees or expenses arising out of, or in connection with, the products sold. Including, but not limited to, any actual or alleged injury, damage, death or other consequences occuring to any person or property as a result, directly or indirectly, of the possession, use or consumption of any products, under any cause of action, regardless of the form in which any such claim is made.
